STANDARD TERMS AND CONDITIONS OF SALE

  1. Waiver of Client's Standard Terms: the client expressly waives the application of its own standard terms and conditions, even if they were drafted after these service terms. Any deviation from these terms must be agreed upon in writing in advance and approved by Automaize P.S.A.
  2. Payment Terms: our invoices are payable within 7–30 business days unless a different payment term is specified on the invoice or order. In the event of late payment, Automaize P.S.A. reserves the right to charge interest at a rate of 10% of the outstanding amount. In case of delayed payment, Automaize P.S.A. has the right to suspend the provision of services without prior notice. The invoice payment term depends on the type of service.
  3. Late Payments and Debt Collection: if payment remains outstanding for more than sixty (60) days from the due date, Automaize P.S.A. reserves the right to engage a debt collection agency. All legal costs related to the collection will be borne by the client.
  4. Withholding Tax: some countries apply withholding taxes under their national legislation. Any such tax withholdings are to be handled by the client with the respective tax authorities. Automaize P.S.A. shall not bear any costs related to legal regulations in the client’s country. The amount stated on the invoice is fully due to Automaize P.S.A. and does not include any additional charges resulting from the client's local laws.
  5. Automaize P.S.A. Obligations: Automaize P.S.A. commits to making every effort to deliver high-quality services within agreed timelines. However, none of its obligations should be construed as a guarantee of specific results. Automaize P.S.A. is not liable to the client for any claims for damages brought against the client by third parties, including end consumers.
  6. Complaints: to process a complaint, Automaize P.S.A. must be informed electronically by email to kontakt@automaize.pl or to the designated client manager within 14 days of the delivery of goods or completion of services.
  7. Governing Law: all contractual relations between the parties shall be governed exclusively by Polish law.
  8. Limitation of Liability: Automaize P.S.A. is not liable for indirect, incidental damages, loss of profit, data, or any other damages arising from the use of the services, even if Automaize P.S.A. has been advised of the possibility of such damages. The maximum liability of Automaize P.S.A. to the client shall not exceed the amount paid by the client for the given service. Automaize P.S.A. is not liable for damages caused by products it does not own, particularly AI-based tools such as ChatGPT, Claude AI, Le Chat, or Perplexity.
  9. Confidentiality and Data Protection: both parties agree to maintain confidentiality of all confidential information shared during the cooperation, except where disclosure is required by law. The client also agrees to comply with applicable data protection regulations (e.g., GDPR).
  10. Intellectual Property Rights: all intellectual property rights, including developments, documentation, software, and other materials created by Automaize P.S.A. in the course of service delivery, remain the property of Automaize P.S.A., unless otherwise agreed in writing.
  11. Force Majeure: Automaize P.S.A. is not liable for failure or delay in fulfilling its obligations due to force majeure, including but not limited to: natural disasters, acts of government, war, strikes, telecommunication system failures, or other events beyond Automaize P.S.A.’s control.
  12. Changes to Terms: Automaize P.S.A. reserves the right to change these terms of service. The client will be informed of any changes at least 30 days in advance. Continued cooperation after that period implies acceptance of the modified terms.
  13. Termination: Either party may terminate the agreement with 30 days’ written notice unless a different period is specified in the contract. In the event of a breach of the contract by the client, Automaize P.S.A. has the right to terminate the agreement immediately.
  14. Technology and Security Verification: The client commits to using appropriate security procedures and technological safeguards to minimize risks associated with using the services. Automaize P.S.A. is not responsible for errors resulting from incorrect configuration of the client’s systems.
  15. Subcontractors: Automaize P.S.A. reserves the right to subcontract part or all of the services, provided that the subcontractors meet the quality standards required by Automaize P.S.A.
  16. Audit and Monitoring: Automaize P.S.A. reserves the right to conduct audits and monitor the proper use of the delivered solutions, within the scope agreed with the client.
  17. Testing and Acceptance: services or products delivered by Automaize P.S.A. are subject to acceptance testing. The client must report any comments within 7 business days of the test’s completion. Failure to submit comments within this period will be deemed acceptance of the delivered solutions.
  18. Technical Support and Warranty: Automaize P.S.A. provides technical support for the period agreed in the contract. The warranty for delivered solutions covers only defects resulting from errors on the part of Automaize P.S.A. and does not cover support after finishing the project / engagement.
  19. Satisfaction Guarantee: we offer a 30-day satisfaction guarantee on all our services. During this period, we will resolve any issues arising from our work at no additional cost. By working with us, you also receive a dedicated expert who will support you with current and future challenges.
